1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and DeGroot Labs Private Limited, a company incorporated under the laws of India with its registered office in Hyderabad, Telangana ("Company", "we", "our", or "us"). JOSSTE is a product of the Company.
By accessing or using JOSSTE ("the Service"), you agree to be bound by these Terms. If you do not agree, you may not use the Service. These Terms apply to all users of the Service, including photographers, studio administrators, staff members, and clients.
2. Description of Service
JOSSTE is a cloud-based, multi-tenant studio collaboration platform that enables photography and creative studios to host private galleries, share media assets with clients, and facilitate selection, feedback, and delivery workflows. Each subscribing organisation operates within an isolated tenant environment.
3. User Accounts & Responsibilities
- Organisation Administrators (Tenants): You are responsible for managing access for your staff and clients. You must ensure you have the legal right to host and distribute all media assets uploaded to the Service.
- Staff & Clients: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- Security: You must notify us immediately at [email protected] of any unauthorised use of your account or any other breach of security.
4. Content Ownership & License
Your Content: You and your clients retain all ownership rights to photographs, videos, comments, and other content uploaded to or created within the Service. We claim no intellectual property rights over your content.
License to Us: You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, process, and display your content solely for the purpose of providing the Service to you and your authorised users. This license terminates when your content is deleted from the Service.
We will never use your media assets for marketing, advertising, AI training, or any other purpose without your explicit, prior written consent.
5. Subscriptions & Payments
- Plans: Features, storage limits, and staff seats are determined by your selected subscription plan. Details are available on our pricing page.
- Billing: Subscriptions are billed in advance on a recurring basis. All fees are exclusive of applicable taxes (including GST) unless stated otherwise.
- Price Changes: We will provide at least 30 days' advance notice of any price changes via email. Changes take effect at the start of the next billing cycle.
- Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period. Upon cancellation, you will have 30 days to export your data before it is scheduled for deletion.
- Refunds: Refunds are handled on a case-by-case basis at our sole discretion.
6. Prohibited Conduct
You agree not to use the Service to:
- Upload or distribute content that is unlawful, harmful, defamatory, obscene, or infringes on third-party intellectual property rights.
- Attempt to gain unauthorised access to other tenants' data, accounts, or systems.
- Interfere with or disrupt the integrity, performance, or availability of the Service.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service for any purpose prohibited by applicable law.
7. Warranty Disclaimer
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components. You use the Service at your own risk.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
In no event shall the Company's total aggregate liability for all claims arising out of or relating to these Terms or the Service exceed the total amount paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to the claim, or INR 10,000, whichever is greater.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service or any activity under your account.
- Your breach of these Terms.
- Your violation of any applicable law or regulation.
- Your infringement of any third-party rights, including intellectual property, privacy, or publicity rights.
- Any content uploaded, posted, or transmitted by you through the Service.
10. Termination
We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if required by law. You may terminate your account at any time through your account settings or by contacting us.
Upon termination, your right to use the Service ceases immediately. We will retain your data for a period not exceeding 90 days to allow for export, after which it will be permanently deleted, unless retention is required by law. Sections 4, 7, 8, 9, 12, and 14 shall survive termination.
11. Force Majeure
The Company shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or failures of third-party infrastructure providers.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, including its validity, interpretation, breach, or termination, shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If unresolved, the dispute shall be referred to and finally resolved by binding arbitration administered under the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration shall be Hyderabad, India. The language of the arbitration shall be English. The arbitral award shall be final and binding on both parties.
Notwithstanding the above, either party may seek interim or injunctive relief from the competent courts at Hyderabad, India, to protect its intellectual property or confidential information.
13. Changes to Terms
We may update these Terms from time to time. For material changes, we will notify you via email at least 30 days before the changes take effect. Continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Service.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: The failure of the Company to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it at a later time.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
